The use of or inability to use the IRIS Compliance Monitoring System
Any errors, inaccuracies, or omissions in the data or information provided
Any decisions made or actions taken based on information from this system
False positive or false negative screening results
System downtime, interruptions, or technical failures
Unauthorized access to or alteration of your data
Any regulatory fines, penalties, or legal actions resulting from compliance decisions

Indemnification

You agree to indemnify, defend, and hold harmless Solution Forty Two (Pty) Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorney's fees) arising from: (i) your use of the IRIS system; (ii) your violation of these terms; (iii) your violation of any applicable laws or regulations; or (iv) your compliance decisions made using information from this system.

No Warranty

THE IRIS COMPLIANCE MONITORING SYSTEM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SOLUTION FORTY TWO SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SOLUTION FORTY TWO OR THROUGH THE SYSTEM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

Governing Law

Solution Forty Two operates in both the Republic of South Africa and the Republic of Zimbabwe. These terms and any disputes arising out of or related to the use of the IRIS Compliance Monitoring System shall be governed by and construed in accordance with the laws of the jurisdiction in which the service is primarily provided to you.

For users in South Africa, disputes shall be subject to South African law and the exclusive jurisdiction of the courts located in Johannesburg, South Africa. For users in Zimbabwe, disputes shall be subject to Zimbabwean law and the exclusive jurisdiction of the courts located in Harare, Zimbabwe.
